1. Agreement to Terms

By accessing or using the services provided by N&M Academy LLC ("we," "us," "our," or "Company"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

2. Services Provided

N&M Academy LLC provides the following services under the SalesNinja AI brand:

• AI Automation Consulting: Professional consulting services for business task automation using AI technologies.
• AI Automation System Development: Custom AI voice/chat agent design, development, and implementation.
• SaaS Platform Access: Access to our CRM, booking, and automation platform.
• SMS/Text Messaging: Marketing and transactional text messages to subscribers who have opted in.

3. Eligibility

You must be at least 18 years of age to use our services. By using our services, you represent and warrant that you meet this age requirement.

4. Account Registration

To access certain services, you may be required to create an account. You agree to:

• Provide accurate, current, and complete information.
• Maintain and update your information to keep it accurate.
• Maintain the security of your account credentials.
• Notify us immediately of any unauthorized use of your account.

5. Fees and Payment

5.1 Pricing Structure

• Setup Fee (One-Time): Initial development and engineering fee for custom AI setups.
• Monthly Subscription: Recurring fee for platform access, hosting, and AI maintenance.
• Usage Fees: Overages for AI Voice minutes or SMS segments beyond plan limits may apply (billed securely via Stripe).

5.2 Payment Terms

Payment is required before service delivery begins. We accept payment through Stripe and PayPal. All fees are in U.S. Dollars (USD). Subscription fees are billed in advance on a recurring basis. You authorize us to charge your payment method for all fees incurred.

6. Refund and Cancellation Policy

6.1 Non-Refundable Items

This includes but is not limited to:

• Consulting sessions that have been conducted.
• AI automation systems that have been configured or delivered.
• Setup fees for website or workflow construction.

6.2 Cancellation Before Service Delivery

You may cancel your order within 7 days of contract execution if no consulting session has taken place and no development work has commenced. To request cancellation, contact us at [email protected].

6.3 Subscription Cancellation

You may cancel your monthly subscription at any time. Cancellation takes effect at the end of your current billing period. No refunds will be provided for partial subscription periods.

7. SMS/Text Messaging Terms (A2P 10DLC)

7.1 Consent to Receive Messages

By providing your phone number and checking the consent boxes on our opt-in form, you expressly consent to receive text messages from N&M Academy LLC, including:

• Marketing Messages: Promotional offers, new service announcements (max 4/month).
• Transactional Messages: Order confirmations, appointment reminders, account notifications, system alerts.

7.2 Message and Data Rates

Message and data rates may apply depending on your mobile carrier's plan. Please consult your carrier for details.

7.3 Opt-Out Instructions

You may opt out of receiving text messages at any time by replying STOP to any text message you receive from us. After opting out, you will receive a confirmation message, and no further messages will be sent unless you re-subscribe.

7.4 Carrier Liability

We are not liable for any delays or failures in message delivery caused by your mobile carrier.

8. Intellectual Property Rights

All content, features, and functionality of our services, including but not limited to text, graphics, logos, software, and AI automation systems, are owned by N&M Academy LLC.

8.1 Custom Development Ownership

• Subscription Model: We retain ownership of the system logic and automation flows; you receive a license to use it while your subscription is active.
• Client Data: You retain full ownership of your customer data (leads, contacts) processed by the system.

9. User Responsibilities

You agree not to use our services for any unlawful purpose, violate applicable laws, infringe upon IP rights, or transmit harmful code/viruses. You also agree not to resell or redistribute our services without authorization.

10. Privacy and Data Protection

Your privacy is important to us. Please review our Privacy Policy, which explains how we collect, use, and protect your personal information.

11. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. We do not warrant that our services will be uninterrupted, secure, or error-free, or that any defects will be corrected.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, N&M ACADEMY LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

13. Indemnification

You agree to indemnify and hold harmless N&M Academy LLC from any claims, damages, or expenses arising out of your use of our services or violation of these Terms.

14. Modifications to Services and Terms

We reserve the right to modify or discontinue services or update these Terms at any time. The "Last Updated" date at the top will indicate changes. Continued use constitutes acceptance.

15. Termination

We may terminate or suspend your access immediately, without prior notice, for breach of these Terms.

16. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of Oregon, United States. Any disputes shall be resolved through good faith negotiations, or if unresolved, binding arbitration in accordance with the American Arbitration Association rules in Oregon.
